Gig Catalyst Terms of Service

The agreement governing your use of the Gig Catalyst marketplace.

1. Acceptance of These Terms

Welcome to Gig Catalyst. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Gig Catalyst LLC (“Gig Catalyst,” “we,” “us,” or “our”), governing your access to and use of the Gig Catalyst marketplace, mobile application, website located at gigcatalyst.com, and any related services (collectively, the “Platform”).

By creating an account, posting or accepting a Gig, booking a service, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable service-specific addenda. If you do not agree to these Terms, you must not access or use the Platform.

Gig Catalyst operates a specialized service marketplace connecting everyday customers in the Las Vegas metropolitan area and surrounding communities with vetted independent contractors (“Catalysts”) for tutoring, concierge, line standing, pet waste management, home perfection, and related concierge services. Gig Catalyst is a Black-owned and LGBTQIA+-owned business.


2. Definitions & Interpretation

  • “Catalyst” — an independent contractor who has completed Gig Catalyst's vetting process and who offers or performs services through the Platform.
  • “Customer” — a User who posts, books, or requests a Gig through the Platform.
  • “Gig” — a discrete service request, task, or engagement posted or booked through the Platform.
  • “Service Total” — the base price of a Gig, calculated as (Base Rate × Hours), exclusive of Platform Fees.
  • “Platform Fees” — the additive, fully disclosed fees described in Section 5.1.
  • “Total All-Inclusive Price” — the Service Total plus all Platform Fees, presented as the single most-prominent figure at the point of booking in accordance with Nevada upfront-disclosure requirements.
  • “Gig Facts Label” — the itemized, FCC-style price-disclosure label displayed at the time of booking, identifying each fee component and the total.
  • “Protection Shield” — the platform guarantee described in Section 11 and the Claims & Adjudication Policy.
  • “Vaulted Commitment” — the Commit-to-Pay model described in Section 5.4.
  • “Tribal Lands” — land governed by a federally recognized Tribe or otherwise subject to tribal jurisdiction, tribal requirements, or tribal access controls.
  • “Special Jurisdiction” — a service location subject to tribal, federal, state, local, property-owner, or other requirements that may differ from ordinary Platform instructions.

Headings are for convenience only and do not affect interpretation. The words “including” and “includes” mean “including without limitation.”


3. Eligibility, Registration & Account Security

You must be at least eighteen (18) years of age and legally able to form a binding contract to use the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for safeguarding your account credentials and for all activity occurring under your account.

Gig Catalyst offers membership tiers that govern Shield coverage, response SLAs, and expedited-service pricing. Membership benefits apply to the customer's account and are separate from individual service bookings. Regular Concierge Team support hours are Monday–Friday, 8:00 AM–6:00 PM PST via the customer portal or customersupport@gigcatalyst.com. Weekend support may be available for urgent matters.

4. The Gig Catalyst Platform & Services Overview

The Platform enables Customers to post Gigs, receive proposals from vetted Catalysts, and engage Catalysts to perform services. Gig Catalyst facilitates discovery, matching, scheduling, payment processing, and escrow, but does not itself perform the services and is not the employer of any Catalyst (see Section 12).

The Platform's core service lines include: Tutoring; Canine Cleanup; Curb Concierge; Line Standing; Personal Concierge & Logistics; Senior & Elder Companion Concierge; Transition Support (moving services); and Home Perfection (assembly, mounting, and basic repair). Specific service terms, pricing, and licensing requirements are set out in Section 17.

Gig Catalyst's value proposition is a “Masterfully Bespoke” concierge experience featuring transparent pricing (80% of the Service Total paid to the Catalyst), a Protection Shield for Users, and a service-level commitment for interventions within defined response windows.


5. Fees, Payment & the Vaulted Commitment Model

5.1 Fee Breakdown & Transparency

Gig Catalyst charges a fully transparent, additive fee structure. The booking confirmation flow, Gig Facts Label, and final receipt must clearly display: Service Total, Platform Core Fee, Platform Safety Fee, Regulatory Fee, Total customer charge, Applicable Mobilization Fee, Refund amount, and Catalyst compensation. All fees are itemized on the Gig Facts Label at the time of booking so that the Total All-Inclusive Price is disclosed before any commitment. Mobilization Fee percentages are calculated against the Service Total, and Platform fees are separate and non-refundable once a booking is confirmed.

The fee calculation is: Total All-Inclusive Price = (Base Rate × Hours) + $1.99 + $0.99 + $1.00. No additional fees are charged at completion. Gig Catalyst does not engage in drip-pricing; the total displayed at booking is the total charged.

5.2 Catalyst Compensation

Catalysts receive 80% of the Service Total for each completed Gig. Platform revenue is derived from a 10% service commission (minimum $10) plus the $3.98 in Platform Fees. This 80/20 split is displayed transparently and is a core differentiator of the Platform.

5.3 Payment Processing, Escrow & Payouts

Payments are processed through Stripe. When a Customer commits to a Gig, funds are vaulted and held securely in escrow until the service is completed and the Customer confirms satisfaction. Catalyst payouts are disbursed through Stripe in accordance with the Catalyst's selected payout schedule. Gig Catalyst does not release escrowed funds to a Catalyst until service completion is confirmed.

5.4 Vaulted Commitment Model (Commit-to-Pay) & Cancellation

Gig Catalyst operates a “Vaulted Commitment” (Commit-to-Pay) model. Under this model, a Customer's payment method is authorized and the funds are vaulted at the time of booking, but the Customer is not charged until a human Catalyst confirms and accepts the booking. This ensures no charge is finalized against an unconfirmed request.

Payment-offer timers govern the window during which an accepted offer remains payable: three (3) hours for same-calendar-day services, eight (8) hours for next-day services, and twenty-four (24) hours for services scheduled later or with an unknown schedule. Detailed cancellation, refund, and no-show rules are set out in Section 10.

Commit-to-Pay Promise

You are never charged for a Gig that no Catalyst accepts. Vaulted authorizations that are not matched to an accepted and completed booking are released according to your card issuer's standard hold-resolution timeline.


6. Insurance — AB 523 Primary Liability Coverage

Gig Catalyst maintains primary liability insurance coverage as required by Nevada law, including the framework established by Assembly Bill 523 (2025 Legislative Session, effective October 1, 2025), which codifies a Delivery Network Company (“DNC”) framework within Nevada Revised Statutes (NRS) Chapter 597.

  • DNC Defined. Under Section 2.3 of AB 523, a Delivery Network Company is an entity operating in Nevada that uses a digital network to connect a customer to a driver for delivery services. Section 2.4 defines “Delivery Services” as the pick-up of any item from any location and delivery using a personal vehicle within fifty (50) miles.
  • Primary Liability Insurance. Pursuant to Section 2.9 of AB 523, a DNC is not vicariously liable for a driver's acts only if the DNC maintains a $1,000,000 (one million dollar) motor-vehicle insurance policy covering the driver during the delivery period. Where any Platform service constitutes a Delivery Service under AB 523, Gig Catalyst maintains, or requires the maintaining of, the requisite $1,000,000 primary motor-vehicle liability coverage during the applicable delivery period so that the statutory liability framework is satisfied.
  • Catalyst Auto Insurance. All Catalysts who operate a motor vehicle in connection with a Gig must upload a valid personal auto insurance Declarations Page as a condition of activation. Gig Catalyst reserves the right to suspend any Catalyst who fails to maintain proof of active coverage.
  • Passenger Transportation Prohibited. Gig Catalyst maintains a zero-tolerance policy: no Catalyst may transport passengers as part of any Gig. The Platform is not a transportation network company and does not facilitate ridesharing.
  • Marketplace Facilitator. Gig Catalyst is treated as a marketplace facilitator under Nevada law (including NRS 624), with associated reporting obligations, and Catalysts performing licensable services must maintain the appropriate contractor licenses.

7. User Conduct & Responsibilities

You agree to use the Platform lawfully and in good faith. You must not: (a) post fraudulent, misleading, or unlawful Gigs; (b) solicit, accept, or perform services outside the Platform to evade fees or Platform protections; (c) exchange personal contact information with the other party for the purpose of circumventing the Platform; (d) discriminate against any party on the basis of a protected characteristic; or (e) abuse, harass, or threaten any User or Gig Catalyst personnel.

Catalysts must provide a specific reason (e.g., emergency, vehicle trouble, illness) for any cancellation of a confirmed booking via the app. Each Catalyst cancellation incurs an automatic reliability-score adjustment, and repeated cancellations may result in suspension or loss of Elite status.


8. Automated Systems & AI Disclosure

AI and automated tools may be used in development and internal operations, including testing, research, customer-support tooling, and service-quality monitoring. Gig Catalyst does not use AI for live production matching or eligibility decisions unless that use is separately disclosed and governed. Gig Catalyst does not market itself as “AI-powered” or “AI-driven,” and does not represent that automated systems replace human judgment in the core delivery of services. Where live matching is used, it is conducted through human-reviewed and Platform-approved processes using objective, demographic-neutral factors including verified skills, availability, proximity, reliability score, response speed, and customer rating, with appropriate audit logging of the matching pool, selection method, exclusion criteria, and timestamp.

Consolidated Disclosure

This Section 8 constitutes the single, consolidated Automated Systems & AI Disclosure for the Platform. In the event of any inconsistency between this provision and any other statement regarding automated systems, this consolidated disclosure controls.


9. SMS / Text Messaging Terms (A2P 10DLC Compliance)

By opting in, you consent to receive transactional text messages from Gig Catalyst (the brand) regarding account activity, bookings, support, and service updates. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance. Consent to receive SMS is not a condition of purchase. Your mobile information and SMS opt-in consent data will not be shared, sold, or traded with third parties for marketing purposes.

9.1 Brand Identification

All SMS/MMS messages are sent on behalf of Gig Catalyst (Gig Catalyst LLC). Messages will clearly identify Gig Catalyst as the sender. The message program is associated with the brand “Gig Catalyst” and the gigcatalyst.com domain.

9.2 Message Content & Frequency

You consent to receive transactional and account-related SMS/text messages regarding bookings, booking confirmations, Catalyst acceptance and arrival updates, scheduling changes, account activity, and customer-support communications. Message frequency varies and depends on your activity (for example, the number of Gigs you post or accept). You will not receive promotional marketing SMS without separate, explicit opt-in consent.

9.3 Cost Disclosure

Message and data rates may apply. Standard message and data rates charged by your mobile carrier may apply to messages you send or receive from Gig Catalyst. Gig Catalyst does not charge a separate fee for receiving SMS messages. Check your mobile-service plan for details.

9.4 Opt-Out (STOP) & Help (HELP)

You may opt out of receiving SMS/MMS messages at any time by replying STOP to any message from Gig Catalyst. Upon opting out, you will receive a single confirmation message, and no further SMS/MMS messages will be sent to your number (except where a message is legally required or necessary to complete a transaction already in progress).

For assistance, reply HELP to any message from Gig Catalyst, or contact Gig Catalyst support at the telephone number provided in Section 21. Replying HELP returns information about the program, opt-out options, and support contact details.

9.5 Data & Sharing Restrictions

Your mobile information and SMS opt-in consent data will never be shared, traded, or sold to third parties or affiliates for marketing or promotional purposes.

9.6 Carrier Liability & Delivery

Gig Catalyst is not liable for delayed or undelivered messages caused by carrier networks, mobile-device failures, or factors outside its control. Participation in SMS programs is subject to your mobile carrier's terms and capabilities.

9.7 Communications and Call Recording

Calls made to or received through Gig Catalyst are recorded by default after the applicable recording notice is provided. The following recording notice is provided:

  • English: “This call is being recorded for quality, training, safety, and security purposes.”
  • Spanish: “Esta llamada se está grabando con fines de calidad, capacitación, seguridad y protección.”

Recordings and related call information may be used for service delivery, safety, quality, Concierge Team training, dispute handling, responding to legal requests, and meeting legal and regulatory obligations. For your protection, please do not volunteer your account PIN or other sensitive payment, insurance, claim, or safety information by voice except when Gig Catalyst specifically requests PIN verification through an approved account-security process. Gig Catalyst may verify a PIN verbally when required, including during authorized outbound calls. PINs must not be retained in recordings, notes, screen pops, or notifications and must be masked, paused, redacted, or otherwise excluded through the approved technical process. Support availability, callback requests, and after-hours handling are subject to the published service terms and do not guarantee a callback. The Privacy Policy governs detailed recording data practices, retention, access requests, and disclosures.

10. Cancellations, Refunds, Mobilization Fees, and Priority Blast

This section governs the cancellation of individual service bookings. Cancellation of a monthly membership is a separate process and does not automatically cancel active service bookings.

10.1 Membership-Tier Cancellation Windows

The following windows apply to individual service bookings and are separate from monthly membership cancellation. The “Grace Period” is the window after booking during which a Customer may cancel without a Mobilization Fee.

10.2 Mobilization Fees

Mobilization Fees are calculated against the Service Total. Platform fees are separate and non-refundable once a booking is confirmed by a Catalyst.

A “Customer No-Show” is defined as the Customer being unavailable after a 15-minute waiting period once the Catalyst arrives at the service location.

10.4 Priority Blast

Priority Blast applies to both standard and expedited bookings and is triggered only when a Catalyst cancels a confirmed booking. Under this provision: (a) the Customer is not automatically refunded; (b) the payment is held during a 30-minute replacement search; (c) the request is broadcast for 30 minutes at the same price; (d) a replacement is confirmed if claimed by a qualified Catalyst; (e) a full refund is processed only if no replacement is found after 30 minutes or if the Customer exits the search; (f) the cancelling Catalyst receives a -10 Reliability Score penalty; and (g) the membership-based cancellation window does not restart.


11. Trust, Safety & Concierge Protection Shield

The “Concierge Protection Shield — Governing Claims Procedure” provides property-damage coverage as a platform guarantee. This provision incorporates by reference the full policy located at gigcatalyst.com/shield-policy. A mandatory before-and-after photo audit applies to all Gigs. Coverage limits and claim windows vary by membership tier:

  • Primary Coverage (Service Subscriber & Premier Household): claims must be filed within forty-eight (48) hours of the service event.
  • Secondary Coverage (Guest): claims must be filed within thirty (30) days of the service event, and are processed after any other applicable coverage.

Adjudication is conducted within thirty (30) days, and determinations are final subject to the exigent-override and finality provisions of the Claims & Adjudication Policy. Shield payouts are subject to a 20% retention (clawback) against the responsible Catalyst's future earnings.

The Protection Shield, claims process, and any applicable service-recovery commitments are subject to the Claims & Adjudication Policy, which defines all eligibility, timing, documentation, and finality requirements.


12. Independent Contractor Relationship

Catalysts are independent contractors, not employees, agents, or legal representatives of Gig Catalyst. Nothing in these Terms creates an employment, partnership, or joint-venture relationship. Catalysts are solely responsible for their own taxes, including any IRS 1099-DA reporting obligations facilitated by the Platform, their own licenses, and their own compliance with applicable law.

Each Catalyst agrees to: (a) receive 80% of the Service Total as compensation; (b) comply with the 24-month non-solicitation clause prohibiting solicitation of Gig Catalyst Customers or Catalysts outside the Platform; (c) refrain from exchanging personal contact information with the other party for the purpose of circumventing the Platform; (d) observe the zero-tolerance prohibition on passenger transportation; and (e) maintain and upload a valid personal auto insurance Declarations Page where a motor vehicle is used.


13. Background Checks, Vetting & Quality

All Catalysts undergo background checks and identity verification before activation. Customers may provide transparent feedback through the rating-and-review system. Gig Catalyst provides support to Customers and Catalysts. Automated quality monitoring, including photo audits, supplements (but does not replace) human review of completed Gigs.


14. Privacy & Data Handling

Your use of the Platform is also governed by the Gig Catalyst Privacy Policy, which describes automated data collection, analytics, and payment processing (via Stripe), and which incorporates the SMS data and sharing restrictions set out in Section 9.5. A privacy and consent notice is presented at onboarding or first booking explaining how and when the Platform and Catalysts may contact you.

15. Intellectual Property

The Platform, its branding, the Gig Catalyst name and logo, the Gig Facts Label, and all related intellectual property are the property of Gig Catalyst LLC. You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent.


16. Disclaimers & Limitation of Liability

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Gig Catalyst disclaims all warranties, express or implied, and shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, arising from your use of the Platform or any Gig. Gig Catalyst's aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the amounts you paid to Gig Catalyst in connection with the Gig giving rise to the claim, or (b) $500. Nothing in these Terms limits liability that cannot be limited under applicable law.


17. Service-Specific Provisions

The following provisions apply to specific service lines. The Total All-Inclusive Price for each engagement is calculated in accordance with Section 5.1 and itemized on the Gig Facts Label. Minimum engagement durations apply as noted.

Reference rates are illustrative and subject to Catalyst proposals and applicable modifiers. The Total All-Inclusive Price confirmed at booking is binding.

17.2 Nevada Handyman Exemption ($999 Project Cap)

Under Nevada law (NRS Chapter 624), a person may perform certain handyman-type work without a contractor's license only where the total contract price (including labor and materials) for the project does not exceed $999. Gig Catalyst enforces this statutory cap as a platform Value Gate: any single Home Perfection or Basic Repair engagement quoted at or above the $999 / $1,000 threshold requires the performing Catalyst to hold and present the appropriate Nevada contractor license, and the Platform will not facilitate licensable work above the cap through an unlicensed Catalyst.

  • Value Gate. Engagements crossing the $999 threshold are routed to licensed Catalysts only, and the Platform tracks licensure status as part of the marketplace-facilitator reporting obligations under NRS 624.
  • Licensable Services. Catalysts performing services that require licensure under Nevada law (including certain landscaping and any repairs exceeding $1,000) must maintain the appropriate contractor license and provide proof upon request.
  • Scope Limitation. Catalysts operating under the handyman exemption must not perform work that Nevada law reserves to licensed contractors regardless of price.

17.3 Service-Specific Conduct

For services rendered inside a residence or involving personal property, Catalysts must complete the mandatory before-and-after photo audit (Section 11). For Line Standing and concierge services performed at government offices, courts, or the DMV, Catalysts must comply with all venue rules and may not represent themselves as the Customer for legal purposes.


18. Services on Tribal Lands and Special Jurisdictions

Some service locations may be on land governed by a federally recognized Tribe or may otherwise be subject to tribal laws, regulations, permits, access requirements, administrative procedures, or Tribal Employment Rights Ordinances (“TEROs”).

Before a service is accepted or performed at such a location, Gig Catalyst, the Customer, and/or the Catalyst may need authorization from the applicable Tribe or property owner and must comply with applicable tribal, federal, state, and local requirements. Gig Catalyst does not guarantee that a service may be performed at any particular location and may decline, suspend, or cancel a request if required authorization, licensing, insurance, access approval, or other compliance documentation cannot be confirmed.

Gig Catalyst may subject requests involving Tribal Lands or another Special Jurisdiction to manual review and may require additional information about the Tribe, land status, property owner, service scope, permits, and insurance. A map label or Customer address alone does not establish the applicable jurisdiction or land status.

The Customer is responsible for accurately identifying known Tribal Lands or Special Jurisdiction conditions and for cooperating with authorization requests. The Catalyst must follow applicable tribal privacy, photography, cultural-property, security, parking, visitor, safety, and access rules and must not begin work until required approvals and credentials are confirmed.

18.1 Operational Cross-Reference

Applicable tribal-land or Special Jurisdiction requirements may be incorporated into a booking, service order, Customer instructions, or Catalyst assignment. If a Special Jurisdiction requirement conflicts with ordinary Platform instructions, the conflict must be escalated to Gig Catalyst and resolved before work begins.

18.2 Sovereignty and Jurisdiction

The existence of this Section does not waive tribal sovereignty, create consent to suit in any particular court, or establish that Nevada law or Nevada courts exclusively govern a dispute involving tribal entities or Tribal Lands. Any jurisdiction, governing-law, dispute-resolution, or consent-to-suit provisions in these Terms must be applied subject to applicable law and any required tribal authorization.

Gig Catalyst may report incidents, access denials, or regulatory concerns to the appropriate tribal contact, property owner, authorities, or insurer.


19. Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-laws principles. You and Gig Catalyst agree to submit to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada, for any dispute not subject to informal resolution.

The parties agree to attempt in good faith to resolve any dispute through informal negotiation before initiating formal proceedings. Nothing in this Section prevents either party from seeking injunctive or equitable relief to protect intellectual property or safety.


20. Modifications to These Terms

Gig Catalyst may modify these Terms from time to time. Material changes will be notified through the Platform or by other reasonable means. Your continued use of the Platform after the effective date of any change constitutes acceptance of the revised Terms. The “Last Updated” date below indicates the most recent revision.


21. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any service-specific addenda, constitute the entire agreement between you and Gig Catalyst regarding the Platform.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • Assignment. You may not assign these Terms without Gig Catalyst's prior written consent; Gig Catalyst may assign these Terms freely.
  • No Waiver. No failure to exercise a right constitutes a waiver of that or any other right.
